The following Terms and Conditions govern our relationship with clients

These Terms and Conditions are legally binding

Communications Integrated for Business Solutions (CIBS) is the owner and operator of the following services:

  1. Smart Online Accountant (SOA)
  2. CIBS E-commerce Platform
  3. CIBS Webhook Platform

Hereinafter referred to as "the Services". Your use of the Service is expressly conditioned on your acceptance of these Terms and Conditions of CIBS (hereinafter referred to as "Terms and Conditions"). By using the Service, you agree unconditionally to be legally bound by these Terms and Conditions. Any other terms or conditions found in documents, communications, or interactions with CIBS or its staff shall not be binding.

  1. Grant of License
    CIBS grants you a limited, non-exclusive, non-transferable right to use the Service. CIBS retains all rights not explicitly granted to you under these Terms and Conditions.
    1. CIBS may suspend or terminate your account or access to services at its sole discretion without notice if your use violates any CIBS policy, is deemed illegal, inappropriate, or harmful. No refund is required for prepaid subscriptions under such violation, and CIBS reserves the right to deduct damages from unused amounts or claim compensation.

    2. You agree to comply with any policies or guidelines issued or amended by CIBS. These may relate to technical specs, privacy, acceptable content, etc.

    3. You shall not allow third-party access, alter, or disrupt the Service, nor overload its systems. Reproduction or resale is prohibited.

    4. CIBS may modify, suspend, or withdraw the Service and/or these Terms at any time.

    5. You are solely responsible for your use of the Service and indemnify CIBS from any third-party claims related to your actions or violations.

    6. You warrant that you own or have licenses for all content submitted and that it does not violate any laws or third-party rights.

    7. You confirm your legal authority to agree to these Terms on behalf of your organization and that it doesn’t conflict with other obligations.

    8. CIBS may use your name as a reference in marketing unless otherwise agreed. You must obtain written consent to use CIBS trademarks.

    9. You are responsible for obtaining any required hardware or software to use the Service, and CIBS is not liable for any incompatibility issues.

    10. CIBS owns any feedback you provide and may use it to improve or develop new services.

  2. Payment Terms
    1. By subscribing or renewing, you agree to CIBS's fees and payment policies. Subscriptions may auto-renew. It's your responsibility to ensure timely renewal. Failure may result in account deactivation without notice.

    2. Prices exclude applicable taxes unless stated otherwise.

    3. CIBS may charge taxes or fees as required by law, including on your saved payment method.

  3. Term and Termination
    1. CIBS may terminate your account for any violation. Your access ends upon subscription expiry unless renewed.

    2. Post-termination, CIBS may delete your data. You release CIBS from any liability in this regard unless otherwise specified.

    3. If terminated due to non-renewal, you may restore access within a grace period by paying applicable fees. Otherwise, data may be permanently deleted.

  4. Your Data, CIBS Data, Storage and Privacy
    1. You own the data you upload. CIBS owns aggregated system data and may use it to improve services.

    2. You consent to international data transfer and storage by using the Service, including to Canada and the USA.

    3. The Privacy Policy of CIBS is incorporated herein and may be updated periodically.

  5. Your Account and Passwords
    1. You are responsible for keeping your login credentials secure and must report unauthorized access immediately.

    2. You are responsible for all actions taken under your account unless otherwise notified to CIBS.

  6. Indemnity

    You agree to indemnify and hold harmless CIBS, its affiliates, and personnel from any claims or damages arising from your use of the Service or violations of these Terms.

  7. Service Level Agreement
    1. The SLA, as published, is part of these Terms and governs service performance expectations.

    2. No Warranties:

      The Service is provided "as is". CIBS disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

    3. CIBS does not warrant that the Service or servers are virus-free or error-free.

    4. CIBS is not liable for data loss, transmission issues, or incompatibility with user devices or apps.

  8. Limitation of Liability
    1. To the maximum extent allowed by law, CIBS is not liable for indirect, incidental, or consequential damages.

    2. CIBS’s total liability shall not exceed the monthly subscription amount or $1,000, whichever is less.

  9. Force Majeure

    CIBS shall not be held liable for failure or delay in performance due to causes beyond its control, including but not limited to natural disasters, internet outages, strikes, or national emergencies.
